  1. 1. GENERAL APPLICATION OF THESE TERMS

1.1          By entering this Emporio Armani Smartwatch/Shawn Mendes Promotion (“Promotion”), for a chance to win a pair of invites to get access to an event at Emporio Armani’s store at 51 - 52 New Bond Street, London W1S 1DQ (the “Store”) where they will be able to see Shawn Mendes on 3 Sptember 18.00 UK time (the “Event”) entrants agree to be bound by these Terms and Conditions (the “Terms”).

1.2          This Promotion is organised by Giorgio Armani S.p.A., Via Borgonuovo 11, Milan, MI 20121 Italy (the “Promoter”).

1.3          The Promoter reserves the right to hold void, suspend, cancel or amend the Promotion or these Terms where it becomes necessary to do so. The Promoter shall notify all entrants of any such cancellation or amendment. 

1.4          The decision of the Promoter shall be final in the event of any dispute regarding the Promotion or these Terms. No correspondence will be entered into with regard to any matter connected to this Promotion.

  1. 2. ENTERING COMPETITONS

2.1          The Promotion will open at 08.00 on 28 August 2018 and shall close at 12.00 pm on 1 September (the “dPromotion Period”).

2.2          Entries submitted after the closing date will be invalid.

2.3          Entries should be made by posting on the entrant’s personal IG account a post showing the entrant him/herself with the Picadilly OOH showing EA adv on the background, using #EAwatchesuk (each an “Entry” or collectively, “Entries”).

2.4          Each entrant can only enter once. The Promoter reserves the right to disqualify any entrant who uses multiple accounts, telephone numbers, e-mail addresses or any technologies which permit multiple entries.

2.5          Entries on behalf of another person will not be accepted and joint submissions are not allowed.

2.6          There will be only 10 (ten) winners. The winning entrants must be able to travel to the Store on the date of the Event.

2.7          We accept no responsibility for any late, lost or misdirected entries including but not limited to messages not received due to technical disruptions, network congestion, loss in service of online entry mechanisms, computer error in transit or any other reason. We cannot enter into correspondence with Entrants who experience difficulties with entering online.

3. ELIGIBILITY

3.1          Each entrant must:

3.1.1      have an account on Instagram with public profile

3.1.2      be located in the United Kingdom;

3.1.3      not be an employee (or an immediate member of an employee's family or household) of the Promoter or its holdings or subsidiary companies;

3.1.4      not be an employee (or an immediate member of an employee's family or household) of agents or suppliers of the Promoter or its holding or subsidiary companies, who are professionally connected with the Promotion or its administration.

3.1.5      be over the age of 18 or minors accompanied by parent or guardian

3.2          The Promotor may require the winner to provide proof of age. 

3.3          The Promoter reserves all rights to disqualify the entrant if the entrant’s conduct is contrary to the spirit or intention of this Promotion.

  1. 4. PRIZE DESCRIPTION

4.1          10 (ten) Winners will get access to the Store and they will have the opportunity to see Shawn Mendes (“Prize(s”).

4.2          Promotor is not responsible if any part of the Prize is delayed, postponed or cancelled for any reason and Winner will not be reimbursed for the ARV of the Prize. Armani is not responsible if Winner does not use the Prize.  The Prize is non-transferable and no substitution will be made except as provided herein and at Promotor’s sole discretion.  Promotor reserves the right to substitute a prize for one of equal or greater value if the Prize should become unavailable for any reason.

4.3          Limit one (1) Prize per person/household.  Actual value of Prize may vary and any difference between actual value and ARV will not be awarded. Any costs associated with Prize receipt and/or use that are not expressly stated above are not included in the Prize package and are the sole responsibility of the Winner.  Such costs may include, without limitation, transportation to and from London, any additional air, ground or other transportation, accommodations, incidentals, tips, telephone calls or other personal costs and expenses not specified herein but in relation to the use or acceptance of the Prize, all of which are the sole responsibility of the Winner. 

4.4          Winner is responsible for obtaining identification documents required for use of the Prize. Promotor will not replace any lost or stolen prize components or the Prize once they are in the Winner’s possession. 

  1. 5. WINNER SELECTION AND NOTIFICATION

5.1          The winners of the Promotion will be selected by Maya Yama, and informed by Giorgio Armani Spa through Instagram on 2 September 2018 and will have to confirm their attendance within 24 hours.

5.2          People who will submit a valid Entry will be a potential winner (“Potential Winner). Promotor will use reasonable endeavours to contact the Potential Winner after submission of a valid Entry on 2 September 2018. The decision of the Promotor is final and no correspondence or discussion will be entered into. The Promoter will not amend any contact information once the competition entry form has been submitted

5.3          If a Potential Winner: (i) cannot be contacted; (ii) is not able to arrange to be in London, United Kingdom on the date of the Event; (iii) does not respond (iv) refuses the Prize; and/or (v) the Prize or prize notification is returned as undeliverable, Potential Winner reserves the right to void their Entry and to award the relevant prize to an alternative participant at its discretion (“Alternative Potential Winner”). 

5.4          Alternate Potential Winner shall be contacted as soon as practicable Promotor reserves the right to modify the notification procedures in connection with the selection of any Alternate Potential Winner, if any. Upon contacting a Potential Winner and determining that he/she has met all eligibility requirements of the Promotion, such Entrant may be declared the “winner” of the Promotion.  AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AS FULLY STATED HEREIN, AND ENTRANT HAS BEEN NOTIFIED VERIFICATION IS COMPLETE (“Winner”). 

5.5          Any tax or other charges payable as a result of a prize being awarded or received will be the sole responsibility of the winner and Promotor accepts no liability in respect of the same. Winners should seek independent financial advice prior to entering a Promotion and/or accepting a prize if they believe that tax charges of any kind are likely to be relevant to them.

5.6          We make no representation or warranty in relation to prizes provided and to the fullest extent permitted by law we shall have no liability to you in relation to any prize, its fitness for purpose, merchantability or otherwise.

5.7          No additional, ancillary or associated costs or expenses are included in any prize unless stated. For example, the costs of transport to and from the Event will not be included in a prize unless otherwise stated and successful entrants will be responsible for making their own arrangements.

  1. 6. DATA PROTECTION AND PUBLICITY OF YOUR PERSONAL DATA

6.2          Winners may be required to participate in photo, recording, video and/or filming session(s) as a condition of their receipt of any prize. You agree that Promotor shall have the right to use all the resulting publicity materials in any media and in any manner we see fit including Promoter’s social media pages and website.

6.3          No fees shall be payable to any entrant in relation to the use of publicity materials.

6.4          The winner agrees to his/her personal data being shared with Promotor and its affiliates for the purposes of administration and fulfilling the Promotion, as well as any other uses set out in the Terms.

  1. 7. INTELLECTUAL PROPERTY RIGHTS AND LIABILITY

7.1          By entering our Promotion all entrants:

7.1.1      assign to us all rights (including present and future copyright) in their entry and all associated materials;

7.1.2      waive all moral rights in such materials; and

7.1.3      undertake to us that such materials are not and do not represent a breach of any third party intellectual property rights and will not contain anything, which is defamatory, indecent, harassing or threatening and that they will indemnify Promotor for any loss, damage or liability which arises out of any breach of this clause 7.1.3;

7.2          For the avoidance of doubt, all rights in the name and title of the Promotion and the format rights for the Promotion are our sole property and we may exploit the same our absolute discretion.

7.3          Entrants acknowledge and accept that Facebook is not associated with the Promotion, does not act as a sponsor or promoter of the Promotion, nor does it endorse or administer the Promotion in any manner. Use of Facebook remains subject it its terms of use and privacy policy which entrants must agree to and comply with at all times in connection with their participation in a Promotion. The information an entrant provides will only be used for the purposes outlined in these Terms. Any questions, comments or complaints about this Promotion must be directed to Promoter and not to Facebook. Facebook will not be liable for any loss or damage or personal injury which is suffered or sustained by an entrant, as a result of participating in the Promotion (including taking/using a Prize), except for any liability which may not be excluded by law.

7.4          Facebook is not responsible for any changes or unavailability of the Facebook service that may interfere with the Promotion (including any limitations, any restrictions, or any conditions on Promoter’s ability to use Facebook for the Promotion as set forth herein that are not acceptable to Promoter) or ability of entrants to timely enter, receive notices or communicate with Promoter via Facebook, in which case Promoter, in its sole discretion, may terminate or modify the Promotion.  In the event of a dispute concerning who submitted an Entry, the Entry will be declared to have been made by the registered account holder of the e-mail address associated with the Facebook account for the potentially winning entrant, but only if that person meets all other eligibility criteria. A registered account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Potential winners may be required to provide Promoter with proof that he/she is the registered account holder for the e-mail address associated with the Facebook account for the potentially winning entry. If a dispute cannot be resolved to Promoter’s satisfaction, the entry will be deemed ineligible. Any damage made to the Facebook service or website will be the responsibility of the registered account holder of the e-mail address for the Facebook account submitted at the time of entry. It is the entrant’s responsibility to set his/her account settings to accept contacts by Promoter and to timely check his/her Facebook account for any Promoter direct messages.

7.5          The Promoter reserves the right to: a) cancel the Competition; b) remove any Entries from the Promotion that it feels may breach any of these Terms; and c) amend the Terms of this Competition at any time.

  1. 8. TERMINATION OF COMPETITION

Promotor may vary the terms of, or terminate, any Promotion at any time at its absolute discretion. Promotor will not award any prizes if a Promotion is terminated and shall have no liability or responsibility to any individuals which may have entered the relevant Promotion prior to cancellation.

 

  1. 9. FORCE MAJEURE

If for any reason a Promotion is not capable of running as planned as a result of any reason beyond Promotor’s control (including but not limited to) technical failures, computer virus, mobile network failure, tampering, fraud or any other causes beyond our control which corrupt or affect the administration, security, fairness integrity or proper conduct of the Promotion, Promotor reserves the right to cancel, terminate, modify or suspend the Promotion and/or to disqualify any individual who (whether directly or indirectly) causes (or has caused) the problem.

  1. 10. FAILURE TO ENFORCE TERMS AND CONDITIONS

A failure by us to enforce any one of the terms and conditions in any instance(s) will not give rise to any claim or right of action by any entrant or prize winner, nor shall it be deemed to be a waiver of any of our rights in relation to the same.

 

  1. 11. EXCLUSION OF LIABILITY

11.1       Insofar as is permitted by law, Promotor, its affiliates, its agents or distributors, or any co-promoters of sponsors of Promotions will not in any circumstances be responsible or liable to compensate the winner or accept any liability for any loss or damage (whether arising directly or indirectly and howsoever caused). Nor shall Promotor be liable for any personal injury or death occurring as a result of taking up the prize except where it is caused by the negligence of Promotor, its agents or distributors or that of their employees. Your statutory rights are not affected.

11.2       In the event that Promotor is held to be liable to any individual in respect of any Promotion, its total aggregate liability for all claims made shall be equal to the financial value of the relevant prize that was to be awarded in respect of that Promotion.

 

  1. 12. SEVERANCE

In the event that any provision of these Terms held to be illegal, invalid, void or otherwise unenforceable, it shall be severed from the remaining provisions which shall continue in full force and effect.

 

  1. 13. LAWS

These Terms shall be construed in accordance with and governed by the laws of England, Scotland and Wales and all disputes relating to them and/or their subject matter shall be subject to the exclusive jurisdiction of the courts of England, Scotland and Wales.
